OPERATION MANAGEMENT REGULATIONS
E-COMMERCE WEBSITE: WWW.PHAATA.COM
- GENERAL INTRODUCTION
- Phaata.com is an e-commerce marketplace in the field of transportation (logistics) serving traders, organizations and individuals wishing to introduce, buy and sell online, including: posting online classified ads, opening e-stores to display, introduce and buy/sell logistics services online.
- Phaata.com was built to provide users with facilities to connect, introduce and buy/sell online logistics services that are reliable, fast, economical, efficient and understanding. Thereby, users can easily search online for information about various types of logistics services and/or buy/sell logistics services online.
- Phaata.com is operated and exploited by Phaata Co., Ltd. under the Business Registration Certificate No: 0314667281 issued by the Department of Planning and Investment of Ho Chi Minh City on October 9, 2017.
- Phaata.com's mission is to become a reliable e-commerce marketplace in the field of logistics; and is an important trade bridge between the Suppliers/Forwarders/Sellers and the Owners/Shippers/Buyers of services in the field of logistics.
- GENERAL PRINCIPLES
- “Phaata.com” or “Phaata.com e-commerce marketplace”: is an e-commerce platform with the domain name phaata.com owned by PHAATA Co., Ltd. and operate. Members on the Phaata.com are traders, organizations and individuals whose legal commercial activities are officially recognized by Phaata.com and are allowed to use the services provided by the Phaata.com.
- This principle applies to members who register to use the services provided by the Phaata.com.
- Traders, organizations and individuals participating in transactions at Phaata.com are free to negotiate on the basis of respecting the legitimate rights and interests of the parties involved in activities through the contract, not contrary to the provisions of law.
- Information about traders, organizations and individuals participating as members on the Phaata.com must be transparent and accurate.
- Services participating in transactions on the Phaata.com must be allowed to do business, circulate and not fall under the cases of business ban, advertising ban according to the provisions of law.
- The contents of this Regulation must comply with the current legal system of Vietnam. Members when participating in the Phaata.com must learn by themselves their legal responsibilities for the current laws of Vietnam and commit to comply with the contents of the Regulations of the Phaata.com.
- GENERAL DEFINITIONS
- “Phaata.com” or “Phaata.com e-commerce marketplace” is an e-commerce platform with the domain name Phaata.com owned by PHAATA Co., Ltd. and operate.
- “PHAATA”: is PHAATA Company Limited established and operating under the Business Registration Certificate No. 0314667281 issued by the Department of Planning and Investment of Ho Chi Minh City, registered for the first time on October 9, 2017.
- “Suppliers”/“Forwarders”/“Sellers”: are organizations and individuals that have legal business and commercial activities in accordance with the law and are approved by Phaata to use the services provided by Phaata. Phaata.com and related parties provide to post online classified ads, create display e-stores, introduce, provide services and perform other activities to provide services to customers.
- "Owners"/"Shippers"/"Buyers": are organizations and individuals using transportation/logistics services on Phaata.com.
- “Members”: are organizations and individuals that register to use Phaata.com, including “Suppliers”/“Forwarders”/“Sellers” and "Owners"/"Shippers"/"Buyers".
- “Services”: means transportation services (logistics) transacted on Phaata.com.
- “Cargo”: means the goods that the "Owners"/"Shippers"/"Buyers" needs to transport. Phaata.com does not participate in business, does not provide tools to buy and sell goods on the website.
“Intellectual Property”: any patents, copyrights, registered or unregistered designs, rights to designs, registered or unregistered trademarks, service marks or proprietary rights industrial or other intellectual property and includes applications for any of the foregoing.
IV. TRANSACTION PROCESS
4.1 Process for Owners/Shippers/Buyers:
Step 1: Register/login to your account as an Owners/Shippers/Buyers
Step 2: Owners/Shippers/Buyers quickly search for available services or can post a request for a quote for their own particular service.
Step 3: Owners/Shippers/Buyers compare and select the most satisfied Suppliers/Forwarders to contact to order services or negotiate more directly about their requirements.
Step 4: Receive the service and make a direct transaction with the Suppliers/Forwarders; Phaata provides support for effective management tools and utilities such as instant chat, booking management, supplier management, message management, etc. to help Owners/Shippers/Buyers manage, track and interact directly with a large number of Suppliers/Forwarders quickly, conveniently and efficiently.
Step 5: The Owners/Shippers/Buyers pay the Suppliers/Forwarders directly according to the terms of the direct contract agreement between the two parties.
Step 6: Evaluate service quality for Suppliers/Forwarders or complain (if any)
4.2 Process for Suppliers/Forwarders/Sellers:
Suppliers/Forwarders/Sellers – The party providing transportation services, warehouse leasing and the Owners/Shippers/Buyers – The party whose cargos need to be transported will contact each other directly.
To become a Supplier/Forwarder/Seller on the Phaata.com, you need to register an account as a Supplier/Forwarder/Seller.
Step 1: Register/Login with your account as Supplier/Forwarder/Seller
Step 2: Go to the admin page to create an e-store to introduce the company and services to potential customers
Step 3: Post service information on Phaata.com

Step 4: Receive a booking request or request a quote directly from the Shipper.
Step 5: Make a transaction directly with the Shipper. Phaata provides support for effective management tools and utilities such as instant chat, quote management, booking management, Hot service management, Email marketing, message management... to help Suppliers/Forwarders can manage, track and interact directly with a large number of Shippers quickly, conveniently and effectively.
Step 6: Suppliers/Forwarders receive payment directly from Shippers according to the terms of direct contract agreement between the two parties.
4.3 Forwarding process:
The product provided by PHAATA is an online transportation service order, so Suppliers/Forwarders and Shippers can do it themselves on the Internet. Therefore, there is no need for forwarding and shipping.
4.4 Order confirmation/cancellation process:
Booking/service/order confirmation process
• Step 1: The system will notify you to confirm the successful booking/service order to the Owners/Shippers right after completing the booking process/service order on the Phaata.com. To request a booking/service/order to be confirmed quickly, Shippers please provide correct and complete information.
• Step 2: Then the system will automatically transfer this booking/service order information directly to the Suppliers/Forwarders on the system to confirm the delivery of the booking/service order of the Owners/ Shippers directly. During the confirmation of booking/services/orders, Suppliers/Forwarders and Shippers can directly discuss more from the system's available support tools or can arrange a face-to-face meeting with each other when necessary.
• Step 3: After the Suppliers/Forwarders has agreed to provide the booking/service order to the Shippers, the Suppliers/Forwarders will send a confirmation of the booking/service order to the Shippers at the admin page on the e-commerce website Phaata.com.
• Step 4: Shippers track and receive confirmation of booking/service orders from Suppliers/Forwarders at their admin page on Phaata.com.
Procedure for changing booking/service order
In case the Shippers want to change the booking/service order that has been previously confirmed, please notify the relevant Suppliers/Forwarders directly as soon as possible and negotiate and pay by yourself costs incurred (if any).
Cancellation process/service order
In case the Shippers want to terminate the transaction and cancel the previously confirmed booking/service order, please notify the relevant Suppliers/Forwarders directly as soon as possible and at your own discretion agree and pay the costs incurred (if any).
4.5 Payment Process
The Shippers must pay in full and on time the freight, surcharges and other logistics costs (if any) based on the quotation and other payment terms shown in the contract/agreement/ commitment (if any) has been directly agreed between the two parties Supplier/Forwarder and Owner/Shipper. The Supplier/Forwarder and the Shipper are completely free to agree on the terms of payment with each other. Phaata.com will not be responsible for all payment related issues between the Shipper and the Supplier/Forwarder.
The Supplier/Forwarder has the right to complain or sue the Shipper in the event that the Shipper refuses or delays the payment contrary to the terms of the contract/agreement/commitment (if any) that the two parties the party has signed directly before.
Phaata.com recommends that Suppliers/Forwarders need to check the reputation of Shippers and should have binding contracts with specific payment terms before deploying to provide services to ensure that Shippers will pay in full and on time all service charges as agreed. Phaata.com will not be responsible for all payment related issues between the Shippers and the Suppliers/Forwarders. Phaata.com only supports to the extent that it allows based on the terms of the contract/agreement/commitment (if any) that the Shippers and the Suppliers/Forwarders have signed directly with each other before.
4.6 Return and refund process
In case the Shipper has partially or fully paid for the booking/service/order to the Supplier/Forwarder before using the service; then want to terminate the transaction and cancel the booking/order for this service and request a refund. The Shipper must notify and work directly with the relevant Supplier/Forwarder as soon as possible and negotiate the refund by themselves based on the terms of the previous contract/agreement.
4.7 Product warranty/maintenance process
Products provided on Phaata.com are online bookings/orders for transportation /logistics services, which Shippers can do on their own in the Internet environment. Therefore, there is no product warranty/maintenance.
Because logistics services are provided directly from Suppliers/Forwarders, therefore, Shippers when conducting transactions need to learn about the Suppliers/Forwarders' cargos/service warranty policy.
When needing support in the process of using the service, Shippers please directly contact the Suppliers/Forwarders for support in the fastest time. Suppliers/Forwarders are responsible for receiving information and supporting Shippers as the terms of the previous contract/agreement/commitment (if any).
If the Shippers have difficulty contacting the Suppliers/Forwarders, can submit a request at www.phaata.com/contact or contact Phaata User Care for further assistance.
The Shippers have the right to complain or sue the Suppliers/Forwarders in the event that the Suppliers/Forwarders refuses to provide the service in accordance with the terms of the contract/agreement/commitment (if any) that the two the parties have signed directly before.
Phaata.com recommends that Shippers need to check the reputation and service provision policies of Suppliers/Forwarders for services they intend to buy/use. Phaata.com will not be responsible for the service quality of the Suppliers/Forwarders. Phaata.com only supports to the extent that it allows based on the terms of the contract/agreement/commitment (if any) that the Shippers and the Suppliers/Forwarders have signed directly with each other before.
4.8 Dispute settlement process:
Phaata.com and Suppliers/Forwarders are responsible for receiving complaints and supporting Shippers related to transactions at website www.phaata.com. When a dispute arises, PHAATA promotes negotiation and mediation between the parties in order to maintain the member's trust in the service quality of www.phaata.com and follow the following steps:
Step 1: Shippers complains about Suppliers/Forwarders' services via email: cs@phaata.com, Shippers can report directly to the admin board.
Step 2: PHAATA's User Care Department will receive complaints from Shipper members. Depending on the nature and extent of the complaints, PHAATA will take specific measures to support Shippers. to resolve that dispute. This department actively resolves quickly and immediately responds to the results of settlement of complaints on the basis of the policies announced by the company within 7 working days.
Step 3: In case it is beyond the ability and authority of Phaata.com, the admin board will ask the Shippers to bring this case to the competent state agency for resolution according to the law.
Phaata.com respects and strictly implements the provisions of the law on protecting the interests of Shippers (consumers). Therefore, it is recommended that members post services on Phaata.com to provide complete, accurate, honest and detailed information related to the service. All acts of fraud and fraud in business are condemned and must be fully responsible before the law.
Parties including Suppliers/Forwarders, Shippers will have to play a responsible role in actively resolving the issue. For the Suppliers/Forwarders, it is necessary to provide documents certifying the information related to the conflicting event for the Shippers. Phaata.com will be responsible for providing information related to Shippers and Suppliers/Forwarders if requested by Shippers or Suppliers/Forwarders (in connection with that dispute).
After the Suppliers/Forwarders, Shippers have resolved the dispute, they are responsible for reporting it to Phaata.com's management board. In the event that the transaction has a conflict that is the Suppliers/Forwarders' fault, Phaata.com will take action to warn, lock the account or transfer it to the competent legal authority depending on the seriousness of the violation. Phaata.com will terminate and remove all articles about the service of that Suppliers/Forwarders on Phaata.com and request the Suppliers/Forwarders to reimburse the Shippers satisfactorily on the basis of an agreement with the user.
If through an agreement, it is still not possible to resolve the conflict arising from the transaction between the Suppliers/Forwarders and the Shippers, one of the two parties will have the right to refer to a competent legal authority to intervene to ensure the legitimate interests of the parties, especially for users.

V. PHAATA.COM DISCLAIMER TERMS
• Phaata.com is an e-commerce platform that connects organizations or individuals with transportation/logistics needs and transporters to meet for commercial transactions. All transactions on Phaata.com will be performed directly by the buyer and seller, Phaata.com is completely unrelated to this purchase and sale, and is not responsible for any disputes that occur between the parties.
• We make every effort to guarantee that all accurate information will be displayed on Phaata.com. However, please note that the information is also edited by the Account Holder, so the information about the shipper, about the cargos/services on Phaata.com is for reference only. Phaata Co., Ltd. will not be responsible for any dispute about the above information.
• In the process of using, there may be errors caused by the transmission line, the computer leading to the interruption of the customer's transaction support. These are uncontrollable incidents, so we are not responsible for any loss arising from the above incidents.
• Phaata.com will not bear any responsibility in the following cases:
+ Shippers provide cargos information, shipping conditions,... to sellers on Phaata.com;
+ Vehicle owners provide information about vehicles, schedules, ... to shippers on Phaata.com;
+ The warehouse owner provides information about the warehouse, area, ... to the Shippers on Phaata.com.
VI. SAFETY TRANSACTIONS
The management board has used the services to protect information about sales information on Phaata.com. To ensure that transactions are conducted successfully, minimizing risks that may arise, Phaata.com applies the transaction safety mechanism as follows:
• Information management of the Suppliers/Forwarders: When registering to sell on the PHAATA e-commerce platform, the Suppliers/Forwarders must provide complete information (name, legal status, address, phone number, email) on each Supplier/Forwarder account and shall be solely responsible for such information. This information will be included in the management data by the Phaata.com. PHAATA uses the verification of Suppliers/Forwarders information to ensure that transactions are completed successfully, and to minimize risks that may arise.
• Control Transactions of Suppliers/Forwarders: Transactions of Suppliers/Forwarders with Shippers will be included in the management content by the Phaata.com, regularly updated status and will have a preliminary assessment Supplier/Forwarder reputation.
• Shippers not give payment details to anyone by email or other contact form, Phaata.com is not responsible for any damage or risk members may incur during the exchange of information of the Shippers via the Internet or email. Shippers should not make advance payment to Suppliers/Forwarders that Shippers have not verified and transacted once. Shippers get information about Suppliers/Forwarders, reputation and service quality by contacting Suppliers/Forwarders in advance. Shippers absolutely do not use any programs, tools or other forms to interfere with the system or change the data structure. It is strictly forbidden to distribute, propagate or promote any activities to interfere, destroy or invade the website system. Any violations will be handled in accordance with the Regulations and provisions of law.
All transaction information is kept confidential, except when required by law enforcement agencies.
VII. PROTECTION OF PERSONAL INFORMATION
7.1 Purpose and scope of collection
The main data collection on Phaata.com includes: email, phone, username, login password, user's address (member). This is the information that Phaata.com requires members to provide mandatory when registering to use the service and for Phaata.com to contact and confirm when the registers to use the service on the platform to ensure interests for the users. PHAATA does not keep information about members' bank account numbers.
PHAATA will also use both personally identifiable information of users and certain non-personally identifiable information (such as cookies, IP address, browser type, total date, etc.) to increase responsiveness of PHAATA with respect to the sites and services, as well as for the development of new functions, features and services in accordance with evolving trends and interests.
Members will be solely responsible for the security and storage of all service use activities under their registered name, password and email box. In addition, members are responsible for promptly informing Phaata.com about unauthorized use, abuse, breach of security, retention of registered names and passwords of third parties to take appropriate measures.
7.2 Scope of use of information
Phaata.com uses information provided by members to:
• Provide services to members;
• Send notices about information exchange activities between members and Phaata.com;
• Prevent activities that destroy members' user accounts or activities that impersonate members;
• Contact and deal with members in special cases.
• Do not use members' personal information other than for confirmation and contact purposes related to transactions at Phaata.com.
• In case of legal requirements: Phaata.com E-commerce marketplace is responsible for cooperating to provide members' personal information upon request from judicial authorities including: Procuracy, court, investigative police agencies related to certain illegal acts of users. In addition, no one has the right to infringe on members' personal information.
7.3 Information retention time
The member's personal data will be stored until there is a request to cancel or the member can log in and perform the cancellation. Remaining in all cases, member's personal information will be kept confidential on Phaata.com's server.

7.5 Means and tools for users to access and correct their personal data
Members have the right to self-check, update, adjust or cancel their personal information by logging into their account and correcting personal information or requesting Phaata.com to do so.
Members have the right to submit complaints about the disclosure of personal information to third parties to the Management Board of Phaata.com. When receiving these feedbacks, Phaata.com will confirm the information, be responsible for answering the reason and guide the member to restore and keep the information confidential.

7.6 Commitment to protect the privacy of users' personal information
Personal information of members on Phaata.com is absolutely confidential by Phaata.com in accordance with Phaata.com's personal information protection policy. The collection and use of information of each member is only done with the consent of that user, unless otherwise provided for by law.
Do not use, do not transfer, provide or disclose to any third party about the members' personal information without the consent of the user or at the request of a state agency in accordance with regulations of law.
In the event that the information server is attacked by a hacker leading to the loss of members' personal data, Phaata.com will be responsible for notifying the incident to the investigating authorities for timely handling and notice to members are known.
Absolutely secure all members' online transaction information including invoice information, accounting and digital documents at Phaata.com's level 1 secure central data area.
Phaata.com management requires individuals, when registering / purchasing as a member, to provide all relevant personal information such as: Full name, contact address, email, personal identification number, telephone ..., and is responsible for the legality of the above information. Management board of Phaata.com is not responsible for and will not settle any complaints related to the interests of that member if it considers that all personal information of that member provided during initial registration is not exactly.
Members have the right to self-check, update, adjust or cancel their personal information by logging into their accounts and correcting personal information or requesting Phaata.com to do so.
Members have the right to submit complaints about the disclosure of personal information to 3rd parties to the Management Board of Phaata.com. When receiving these feedbacks, Phaata.com will confirm the information, be responsible for answering the reason and guide members to restore and secure information, email: cs@phaata.com
When there is a customer complaint, the customer service department records and handles the following:
• Step 1: The customer sends feedback about the collection of personal information contrary to the stated purpose
• Step 2: Customer Care Department receives and settles with relevant parties. Go to the Technical Department to check the entire system of operation history for tracing
• Step 3: In case beyond Phaata.com's control, we will bring to the competent authorities to request resolution within 24 hours after detecting the problem.
VIII. BAD INFORMATION MANAGEMENT
8.1 Seller/supplier regulations
All regulations below apply to the pre-audit and post-audit stages of Phaata's management board if it is discovered that a member violates the regulations in the course of operation for the purpose of creating a safe, healthy and fair business environment for members and active members at Phaata.
Therefore, Phaata's management board recommends that members carefully study the regulations before posting services to avoid unintentional violations. New regulations will be continuously updated by the management board based on analysis of the market, community, issues arising in the process of operation and take effect as soon as they are posted on the Phaata.com.

Service Description |
In the service description, the Supplier/Forwarder must not post his or her contact information (phone number, address, website, facebook) in the post. In addition, the service description cannot compare the selling price of the service and the market price. Service description must be presented in pure Vietnamese language with accents, no abbreviations, no teen language, chat language causing confusion for readers. The service description must state the characteristics of the service for sale, and must not be sketchy or non-descriptive. - Discs, books, articles of depraved nature.
- Wild flora and fauna and rare natural flora and fauna.
- Drugs, stimulants and other addictive substances.
- Weapons, explosives, toxic chemicals.
- National secret documents, specialized ciphers and software protection programs within the scope of state secret protection.
- Humans or parts of the human body.
- Email lists and personal information of a large number of people.
- Illegal products/software or jailbreaking.
- Items that are racist or offensive to a certain ethnic group or country.
- Illegal products due to theft.
- Products infringing trademarks, copyrights.
- Other cargos restricted from trading as prescribed by law.
Note: This list will be updated when there is a change in Vietnamese law or feedback from the community.

8.2 Regulations for Shippers/Buyers
In order to build a civilized, reputable, convenient and safe e-commerce transaction community, Phaata introduces a number of regulations on purchasing and feedback that are applicable to all Shippers/Buyers are members of Phaata.

8.3 Abuse of Phaata E-commerce Platform
Phaata e-commerce platform and the community work together to keep the websites and services of the Phaata e-commerce platform working properly and safe for the community. Please notify Phaata.com of issues, content and policies that are offensive, damaging to Phaata.com. The Phaata.com strives to ensure that the products/services posted do not infringe the copyright, trademark or other intellectual property laws of third parties. If there is information that a member's intellectual property law has been violated, please notify so that the Phaata.com can conduct an investigation.
8.4 User Submissions
Everything a Member submits to the Phaata.com, including but not limited to, questions, comments and suggestions (collectively, “Submissions”) will become the sole property and exclusive of Phaata.com and will not be refunded to members. In addition to the rights applicable to Submissions, when a member posts a comment on the Website, the Member also allows the Phaata.com to use the name along with the comment or other content. Members must not use fake e-mail, pretend to be another person or confuse Phaata.com or a third party about the origin of such information. Phaata.com may, but is not obliged to, remove or modify such Submissions.
8.5 Languages
Suppliers/Forwarders and Owners/Shippers are not allowed to use vulgar language, obscene slang, violent language (threats...)
IX. RESPONSIBILITIES IN CASE OF TECHNICAL ERROR
• Phaata.com is committed to making efforts to ensure the safety and stability of the entire technical system. However, in the event that a problem occurs due to the fault of the Phaata.com. PHAATA will immediately apply measures to ensure the interests of the Owners/Shippers/Buyers.
• When performing transactions on the Phaata.com, members are required to strictly follow the guiding procedures.
• Management of Phaata.com is committed to providing the best quality of service to members participating in transactions. In case of technical errors, software errors or other objective errors leading to members not being able to participate in transactions, members shall notify the Management of Phaata.com, phone number: +84 08 9669 8366, E-mail: cs@phaata.com.
• However, the Management of Phaata.com will not be responsible for handling in case members' notices do not reach the management, arising from technical errors, transmission errors, software errors or other errors that not caused by management. These are uncontrollable incidents, so we are not responsible for any loss arising from the above incidents.
• In case the system is attacked by external influences, Phaata.com will take countermeasures by blocking the attack object (IP, account) and recovering data.
• When the server system has a problem, Phaata.com will use the backup server system and fix the consequences as soon as possible.
X. RIGHTS AND OBLIGATIONS OF THE MANAGEMENT OF PHAATA.COM
10.1 Rights and responsibilities of traders/organizations

10.2 Rights of the Management of Phaata.com
• Phaata.com will provide services to the participating members after completing the procedures and mandatory conditions set out by the PHAATA.
• In case there is a basis to prove that the member providing information to the Phaata.com is incorrect, misleading, incompleting or violates the law or fine customs of Vietnam, the Phaata.com has the right to refuse, suspend or terminate the member's right to use the service.
• Phaata.com may terminate the member's membership and right to use one or all services and will notify the member within at least one (01) month in case the member violates Regulations of the Phaata.com or have acts affecting business activities on the Phaata.com.
• Phaata.com will consider terminating the member's right to use the service and membership if the member does not participate in transactions and information exchange on the Phaata.com continuously for three (03) months. If you want to continue to become a member and be re-granted the right to use the service, you must re-register from the beginning according to the form and procedures of the Phaata.com.
• Phaata.com may immediately terminate a member's right to use the service and membership if the Phaata.com discovers that a member has gone bankrupt, convicted or is serving a sentence, in case the member continues Continuing to operate may cause legal liability for the Phaata.com, there are fraudulent activities, counterfeiting, causing market disturbances, causing disunity with other members of the Phaata.com, infringing activities the current law of Vietnam. In the event of termination of membership and service use rights, all certificates and rights granted by members will automatically expire and be terminated.
• Phaata.com holds the copyright to use the services and contents on the Phaata.com in accordance with the legal provisions on intellectual property protection in Vietnam. All icons and content in different languages are owned by the Phaata.com. Any illegal copying, use and dissemination of the above property rights is strictly prohibited.
• Phaata.com reserves the right to change the table, service price list and payment method during the time of providing services to members according to the needs and conditions of the Phaata.com and will notify the member within one (01) month.
10.3 Obligations and responsibilities of the Phaata Management board
• PHAATA is responsible for building the website, including some main tasks such as: research, design, procurement of hardware and software equipment, Internet connection, policy development for e-commerce website operation under the conditions and scope allowed.
• PHAATA will deploy and cooperate with partners in building a system of services and utility tools for transactions of participants and users on the Phaata.com.
• PHAATA is responsible for building and supplementing a system of knowledge and information about: e-commerce operations, domestic and international commercial legal documents system, foreign markets, as well as foreign markets news related to the operation of Phaata.com.
• PHAATA will carry out promotion and promotion activities for Phaata.com to foreign markets within the scope and conditions allowed, contributing to expanding and connecting to meet the needs of finding customers and developing overseas markets of members participating in the Phaata.com.
• PHAATA is responsible for providing information about cargos and services to consumers in accordance with the provisions of the Law on Protection of Consumer Rights.
• PHAATA is responsible for preventing and removing from the website information on selling cargos and services on the list of cargos and services banned from business as prescribed by laws and cargos restricted from trading according to laws.
• PHAATA is responsible for removing from the website information on selling fake cargos, imitation cargos, smuggled cargos, cargos infringing on intellectual property rights and other illegal cargos and services when detected or received make a valid statement about this information.
• PHAATA commits to compensate users if the vouchers, service vouchers or regular user cards issued by the website are rejected by partners contrary to the conditions announced on the website or the purchase voucher, service use voucher, regular user card. After making compensation for the user, the PHAATA has the right to contact and request the seller's partner to carry out the compensation process.
• PHAATA takes timely measures when detecting or receiving reports on illegal business acts on the e-commerce website and will support state management agencies to investigate such acts doing business in violation of the law, providing registration information, transaction history and other documents about subjects committing illegal acts on e-commerce websites.
• PHAATA will try to the best extent possible to maintain the normal operation of the Phaata.com and overcome problems such as: technical problems with machines, software errors, etc. Internet connection system, personnel, social changes, natural disasters, power outages, decisions of state agencies or a related third party. However, if the above incidents occur beyond our control, are force majeure events that cause damage to members, PHAATA is not liable.
• PHAATA will publicly announce the mechanism to resolve disputes arising during transactions on the e-commerce marketplace. When a user on the e-commerce marketplace has a conflict with a seller or suffers damage to his/her legitimate interests, Phaata shall provide the information about the seller, actively support the user to protect his/her legitimate rights and interests.
• Phaata is responsible for building and implementing an inspection and monitoring mechanism to ensure that the information provided by participating units on the e-commerce marketplace is fully accurate.
• Phaata is responsible for developing and publicizing the operating regulations of the e-commerce marketplace; monitor and ensure the implementation of such regulations.
• Phaata is responsible for the absolute confidentiality of members' information. Absolutely do not provide member information to third parties without the consent of the member.
• Phaata will deploy and cooperate with partners in building a system of services and utility tools for the transactions of participating members and users on Phaata platform.
• Phaatais responsible for preventing and removing from the website information on selling cargos and services on the list of cargos and services banned from business in accordance with the law or cargos restricted from trading.
• Support state management agencies to investigate illegal business acts, provide registration information, transaction history and other documents about subjects with illegal acts on the e-commerce marketplace.
XI. RIGHTS AND RESPONSIBILITIES OF WEBSITE MEMBERS
11.1 Rights and responsibilities of sellers on Phaata.com website
* Seller's rights
a. The seller will be given a private registration name and password to be used in managing transactions at Phaata.com through Phaata.com or posting their services on Phaata.com.
b. The seller will be guided by the staff of the Phaata.com to be able to use the tools and features for purchasing or posting classifieds and using utility services on Phaata.com.
c. The seller has the right to contribute ideas to Phaata.com during operation. Proposals are sent directly by mail, fax or email to Phaata.com.
* Seller's responsibility
a. Provide complete and accurate information specified in Article 37 of Decree 52/2013/ND-CP "on management of e-commerce activities" for Phaata.com.
Specifically, it includes the following information:
• Full name,
• Permanent address,
• Identity card number or citizen's identity card
• Contact phone number or Email
• Certificate of business registration of the enterprise, the type of product's license as prescribed by law.
b. Provide full information on cargos and services as prescribed from Article 30 to Article 34 of Decree 52/2013/ND-CP when selling cargos or providing services on the e-commerce marketplace. Specifically:
* Information about cargos and services
For cargos and services introduced on sales e-commerce websites, traders, organizations and individuals must provide information so that customers can accurately identify the characteristics of cargos or services in order to avoid misunderstanding when deciding the offer to enter into a contract.
* Information about prices
Information on the price of a good or service, if any, must clearly indicate whether or not the price is inclusive of costs associated with the purchase of the good or service, such as taxes, packaging, shipping and other costs incurred.
Unless otherwise agreed by the parties, if the price information of cargos or services listed on the website does not clearly show that the price includes or does not include costs related to the purchase of cargos or services such as: Taxes, packing fees, shipping charges and other costs incurred, this price is understood to include all relevant costs mentioned above.
* Information on general trading conditions: Traders, organizations and individuals must announce general trading conditions for cargos or services introduced on the website, including:
a) Conditions or restrictions on the supply of cargos or services, such as time limits or geographic scope, if any;
b) Return policy, including return period, method of return or exchange purchased, method of refund, cost for this return;
c) Product warranty policy, if any;
d) Service standards, service delivery procedures, fee schedules and other terms relating to the provision of services, including conditions and limitations where applicable;
e) Obligations of the seller and the customer in each transaction.
• General trading conditions must have a font color that contrasts with the background color of the part of the website where such general trading conditions are posted, and the language showing the general trading conditions must include Vietnamese.
• In case the website has an online ordering function, the seller must have a mechanism for the customer to read and express his or her own consent to the general transaction conditions before submitting an offer to enter into a contract.
* Information about shipping and forwarding
1. Traders, organizations and individuals must publish the following information about conditions of transportation and delivery applicable to cargos or services introduced on their websites:
a) Methods of delivery or provision of services;
b) Estimated time for delivery or provision of services, taking into account geographical distance and delivery method;
c) Geographical restrictions on delivery or provision of services, if any.
2. In case of delay in delivery of cargos or provision of services, traders, organizations and individuals must provide timely information to customers and create opportunities for customers to cancel the contract if they wish.
* Information about payment methods
1. Traders, organizations and individuals must disclose all payment methods applicable to cargos or services introduced on the website, together with clear and accurate explanations so that customers can understand and choose Select the appropriate payment method.
2. Ensure the accuracy and truthfulness of information about cargos and services provided on the e-commerce marketplace.
3. To provide information on their business situation at the request of a competent state agency to serve e-commerce statistics.
4. Comply with regulations of law on payment, advertising, promotion, protection of intellectual property rights, protection of consumer rights and other relevant laws when selling cargos or providing services on the e-commerce marketplace.
c. The seller will be solely responsible for the security and storage and all use of the service under his/her registered name, password and email address.
d. Do not sell goods or provide services on the list of goods and services banned from business; do not sell goods on the list of goods restricted from business, goods and services infringing upon intellectual property.
e. Provide a Certificate of eligibility for business for goods and services required by law to have a Certificate of business eligibility.
f. Comply with regulations of law on payment, advertising, promotion, protection of intellectual property rights, protection of consumer rights and other relevant provisions of law when selling or supplying services on the e-commerce marketplace.
g. The seller is responsible for promptly notifying Phaata.com of unauthorized use, abuse, breach of security, keeping his registered name and password for the two parties to cooperate handle.
h. The seller commits that the information provided to the Phaata.com and the information uploaded to the Phaata.com is correct.
i. The seller is solely responsible for the content, image of the Enterprise information and other information as well as the entire transaction process with partners on the Phaata.com.
j. Sellers and buyers are responsible for providing information about transactions and cargos to support Phaata.com in resolving disputes arising between buyers and sellers taking place via the Platform (if any).
k. The seller is responsible for compensating the buyer for damage if it is proved that the fault belongs to the seller.
l. The seller commits and agrees not to use the services of Phaata.com for illegal, unreasonable, fraudulent, threatening, illegal information exploration, sabotage, creating creating and spreading viruses that damage the system, configuration, transmission of information of the Phaata.com or using its services for the purpose of speculation, manipulating the market to create orders, fake offers, including for the purpose of judging market demand. In case of violations, members must be responsible for their actions before the law.
m. The seller undertakes not to change, modify, copy, propagate, distribute, provide and create similar tools of the service provided by the Phaata.com to a third party otherwise approved by Phaata.com in this Regulation.
n. Sellers must not act to discredit the Phaata.com in any form such as causing disunity among members by using a second registered name, through a third party or propaganda, disseminating information that is not conducive to the reputation of the Phaata.com.
11.2 Rights and responsibilities of customers/buyers when participating in activities on Phaata.com
Buyers' rights
a. Buyers will be provided with a separate registration name and password to be used in managing transactions at Phaata.com through Phaata.com or posting classifieds, posting products, posting promotions. on Phaata.com.
b. Buyers have the right to contribute ideas to Phaata.com during operation. Proposals are sent directly by mail, fax or email to Phaata.com.
Maintain timely and smooth communication with Phaata.com for the operation of the service.
c. Buyers have the right to comment, reflect the truth about goods and products for sale on Phaata.com.
d. The seller guarantees the rights when buying goods as the information posted on Phaata.com.
e. The rights of consumers are guaranteed in accordance with the law.
Buyers' responsibility
a. Buyer will be solely responsible for the security and storage and all use of the service under his registered name, password and email address.
b. Buyer is responsible for promptly notifying Phaata.com of unauthorized use, abuse, breach of security, keeping his registered name and password for the two parties to cooperate in handling. In the event that the communication or cooperation with the partner is not met appropriately, Phaata.com is not responsible for any claims for damages.
c. Buyer undertakes that the information provided to Phaata.com and the information uploaded to Phaata.com is correct.
d. Buyer commits and agrees not to use Phaata.com's services for illegal, unreasonable, fraudulent, threatening, illegal information exploration, destruction, creation and distribution purposes. viruses that damage Phaata.com's system, configuration, information transmission or use its services for the purpose of speculation, market manipulation to create fake orders, offers, including serving for assessing market demand. In case of violations, members must be responsible for their actions before the law.
e. Buyer undertakes not to change, modify, copy, transmit, distribute, provide and create similar tools of the service provided by Phaata.com to a third party without prior consent. of Phaata.com in these Regulations.
f. Buyers must not act to discredit Phaata.com in any form such as causing disunity among members by using a second registered name, through a third party or propagating or disseminating such information. information that is not conducive to the reputation of Phaata.com.
g. Strictly comply with and commit to payment obligations and other contractual obligations.
11.3 Separation of responsibilities between traders/organizations and partners/sellers in solving problems arising from transactions made on the website with customers
• We respect and strictly implement the provisions of the law on protecting the interests of members. Therefore, it is recommended that members post information on the floor to provide complete, accurate, honest and detailed information related to the service. All acts of fraud and fraud in business are condemned and must be fully responsible before the law.
• Parties including shippers, business owners and service providers will have to play a responsible role in actively resolving the issue. Phaata.com will be responsible for providing information related to the shipper and the service provider if requested by the shipper and the service provider (in connection with that dispute).
• After the two parties have resolved the dispute, they are responsible for reporting it to the management of Phaata.com. In the event of a conflicting transaction that is the fault of the shipping service provider, Phaata.com will take action to warn, lock the account or transfer it to a competent legal authority depending on levels of wrongdoing. Phaata.com will terminate and remove all articles about the service provider's products and services on the website and request the shipping service provider to reimburse the shipper satisfactorily on the basis of signed agreements.
• If through an agreement, it is still not possible to resolve the conflict arising from the transaction between the two parties, one of the two parties, the cargos owner and the service provider will have the right to refer to the competent legal authority to intervene to ensure the legitimate interests of the parties, especially for service users.
XII. TERMS APPLY
• Regulations of Phaata officially take effect from the date of posting on Phaata.com. Phaata.com has the right to adjust and change this Regulation to suit the actual operation and is responsible for notifying on Phaata.com 15 days in advance to its members. The revised Regulations take effect from the date of notification of amendments. The member's continued use of the service after the revised Regulations are published and enforced means that they have accepted this revised Regulation.
• All members and customers when using Phaata.com as an online purchase and sale transaction, it means that the relevant parties have agreed to abide by this regulation.
XIII. TERMS OF COMMITMENT
All members confirm that they have read and understood Phaata.com's terms of service and agree to the terms and conditions of this service.
