CK Hutchison Warns Maersk of Legal Repercussions Over Potential Balboa and Cristobal Takeover

Hong Kong port operator CK Hutchison has escalated the battle for control of two strategic terminals at the Panama Canal with a firm move: sending a direct warning to A.P. Moller-Maersk. The group asserts that any attempt by APM Terminals (a Maersk subsidiary) to assume operations without Hutchison's consent will trigger legal measures and claims for damages.

Response to "Unconstitutional" Ruling

In a public update, Hutchison stated it has notified the Panamanian State of a treaty dispute and initiated multiple legal steps after the country's Supreme Court ruled last month that its long-term concession contracts were unconstitutional. The group's Panamanian unit, Panama Ports Company (PPC), commenced arbitration proceedings at the International Chamber of Commerce (ICC) on February 3.

Hutchison warned that Panama's moves toward forcing their exit and implementing a transfer plan are unlawful and lack operational clarity.

This warning comes against the backdrop of APM Terminals previously moving to assume temporary operation of these two terminals immediately following the Supreme Court's ruling.

A Stern Warning to Maersk

In a notice sent to Maersk, Hutchison stated explicitly: “any steps by APMT or any of its affiliates to assume the administration or operation of PPC’s ports at Balboa or Cristobal in any capacity for any period of time without the agreement of CKHH will cause damages to CKHH, HPH and PPC and result in legal recourse against APMT and/or its affiliates involved.”

Despite these threats, Hutchison said it remains committed to protecting employees and avoiding operational disruption. However, the group emphasized that the continued operation of the terminals: “depends solely on actions of the Panama Supreme Court and the Panamanian State” actions which they deem to be beyond Hutchison's control.

Geopolitical Turbulence

The court ruling has caused significant diplomatic and commercial ripples. Beijing has warned of “heavy prices” and reportedly ordered state-owned enterprises to pause new projects in Panama, while Chinese customs have stepped up inspections of imports from Panama.

An editorial published in the state-run China Daily last week argued that the Supreme Court's decision was: “a textbook case of how external pressure can corrupt judicial independence and undermine the foundations of international investment”.
