The Future of the ZIM Deal: Regulatory Hurdles for Hapag-Lloyd and Maersk's Contingency Plan

According to sources from Calcalist, Hapag-Lloyd's planned acquisition of ZIM Integrated Shipping Services is moving forward but continues to face intense regulatory scrutiny. The German ocean carrier has agreed to buy all publicly listed shares of ZIM at $35 per share, valuing this historic deal at a massive $4.2 billion.
Spinning Off Israeli Operations
As part of the takeover agreement, Israeli private equity firm FIMI Opportunity Funds will acquire ZIM's domestic business operations. This spun-off entity will comprise 16 vessels and shipping routes to and from Israel.
This spin-off structure is specifically designed to address regulatory concerns surrounding the Israeli government's "golden share" in ZIM. This privileged stake allows the state to veto any sale and reserves the right to nationalize the entire fleet during national emergencies to maintain the country's supply chain.
A Challenging Approval Process
For this monumental transaction to proceed, it must secure approval from 11 different Israeli government ministries and agencies. The regulatory discussions representing ZIM and Hapag-Lloyd are currently being spearheaded by Avi Licht, a partner at Meitar Law Firm and former deputy attorney general for economic and fiscal affairs.
As of now, an official application for approval has yet to be submitted to Israel's Government Companies Authority.
Maersk's Contingency Plan
While Hapag-Lloyd navigates these bureaucratic hurdles, A.P. Moller - Maersk is reportedly aggressively preparing a contingency plan to acquire ZIM should the current deal collapse. Previously, Maersk had submitted a bid of $29 per share but lost out in the tendering process.
Industry sources cited by Calcalist indicate that Maersk is confident it can finalize the acquisition with fewer regulatory complications related to Israel's "golden share." The Danish company has proactively discussed potential partnerships with local investors while also keeping the option open to proceed independently.
Shareholder Dynamics and Geopolitical Hurdles
One of the most significant regulatory hurdles actually stems from Hapag-Lloyd's own shareholder structure. The carrier counts the sovereign wealth funds of Saudi Arabia and Qatar among its investors, collectively holding roughly a quarter of its total shares.
In contrast, Maersk does not have any investors from countries that Israel considers hostile. This geopolitical distinction could play a decisive role in the Israeli government's review and approval process.
With regulatory reviews still hanging in the balance, the final outcome of the ZIM acquisition remains a massive unknown for the global supply chain. Maersk's readiness to intervene leaves the door wide open for a turnaround deal if Hapag-Lloyd's transaction falls apart.
